Barry Kitain is a seasoned business lawyer who counsels large and small companies, as well as non-profit organizations, on a broad array of business and legal issues. This involves business formation, business partnering, governance issues, dispute resolution, acquisitions and divestitures, loans and loan workouts, succession planning, employment issues, customer issues, and negotiation tactics and strategies. He focuses principally on clients in the healthcare, service, software, and distribution industries.

Barry began his career on the business side, working in small and medium-sized privately held companies, where he developed a meaningful understanding of client objectives. Over the years, he has handled and closed many merger and acquisition transactions, joint ventures, private debt and equity offerings, secured and unsecured bank financings, venture capital investments, and other general business transactions, including customer and vendor agreements, licensing and technology transfers, employment agreements, and restrictive covenants.

He also currently is an adjunct Professor at Rutgers University School of Law teaching an advanced class on transaction document drafting which he designed and developed.

Prior Experience
Prior to joining Lauletta Birnbaum, Barry was a member of Cozen O’Connor in the Corporate Department of the firm’s Philadelphia office for over 12 years. There he was Chair of the firm’s Third Party Legal Opinion Committee for five years and a member of the firm’s Hiring Committee for three years.

While attending Rutgers University Camden School of Law, Barry was an editor for the Law Review, the student-run journal publishing critical legal opinions authored by legal scholars, practitioners, and law students.
