Dominic practices in the areas of general business and corporate law, including business acquisitions and transactions, advising clients on various business-related issues, the formation of companies (e.g., corporations, limited liability companies and partnerships), loan transactions, leases, vendor contracts, customer contracts, and licensing agreements. Dominic’s clients include businesses involved in retail, distribution, staffing, professional services, equipment brokering, contracting, and office supplies.

Representative transactions include:

  • Providing general corporate advice to a staffing company, including review of customer contracts of various sizes, corporate governance documents, and employee incentive plans.
  • Assisting a large retail specialty clothing client in obtaining working capital financing, along with a permanent loan in excess of $35 million from an investment fund.
  • Negotiating the buy-out of a retiring partner in a successful law firm.
  • Providing corporate governance advice to a non-profit corporation in connection with a dispute among board members.
  • Advising an individual in connection with the purchase of a partnership interest in an existing franchise business.
  • Preparing employment contracts for various levels of employees, including sales professionals and c-level employees.
  • Reviewing and advising contractors in connection with Pennsylvania Home Improvement Act compliance.
  • Assisting a key employee of an equipment broker business in connection with the acquisition of such business.
