Jonathan practices in the areas of general corporate law and mergers and acquisitions. He assists clients in forming new businesses, navigating employment issues, drafting contracts, and negotiating agreements. When a business’s principal is looking to exit or expand a business, he also counsels clients on such sales, purchases, and mergers.

Representative matters include:

Handled and closed mergers and acquisitions for buyers and sellers in the software, healthcare, real estate, and restaurant industries.

Supporting clients under Lauletta Birnbaum’s General Counsel Model including counseling on employment matters, software licensing, and regulatory compliance.

Representation of commercial real estate owners in leasing, financing, and purchase/sale transactions.

Drafting agreements for and advising contractors on compliance with home improvement contracts in New Jersey and Pennsylvania.

Negotiation of commercial, service, and vendor agreements.

Providing guidance on the formation of corporations and limited liability companies, as well as preparation of operating agreements, bylaws, and other governing documents.

Past Experience
Jonathan served in the United States Marine Corps Reserve as a military policeman.  He deployed to Afghanistan in 2010 as part of a mentoring team to a local Afghan police force.  During law school, Jonathan was a member of the school’s Moot Court Board.

Honors, Awards, Recognition
While at Drexel, Jonathan attained honors in the Business & Entrepreneurship concentration. During his service as a police mentor with the United States Marine Corps Reserve in Afghanistan, Jonathan was awarded a Navy Achievement Medal his efforts improving the local police force’s intelligence sharing capabilities.
