Sarah Cohen focuses her practice on business litigation. She has guided corporations, start-ups, and individuals through every stage of litigation, from performing pre-suit evaluations, initiating suits, and aggressively pursuing discovery, to summary judgment, mediation, and trial on the merits. Her experience includes complex disputes involving minority shareholder and member oppression, breach of contract, fraud, and employment issues.
Prior Experience
Sarah joined Lauletta Birnbaum, LLC after clerking for the Honorable Marie E. Lihotz of the New Jersey Appellate Division. As a law clerk, Sarah provided research and advice on a broad range of civil and criminal issues based on a detailed study of the record and relevant case law.
Sarah’s Representative Experience:
- Represented a minority shareholder of an electronics manufacturing services company in a shareholder dispute involving claims of shareholder oppression, breach of fiduciary duty and duty of loyalty, fraud, and breach of contract, resulting in a significant seven-figure buy-out of the client’s minority interests in the defendant company;
- Represented a 50-percent owner of a closely held corporation in an action against the other 50-percent owner of the corporation resulting from the defendant’s alleged wrongful diversion of a substantial portion of the corporation’s business to a newly formed start-up corporation formed by the defendant. Representation resulted in a substantial buy-out of the client’s ownership interest in the corporation
- Represented an employer in obtaining a preliminary injunction enforcing a restrictive covenant against a former employee of the employer’s firm.
- Represented a former employee against a former employer for the hostile work environment, sexual harassment, wrongful termination, and violations of the Fair Labor and Standards Act. Representation resulted in a significant six-figure settlement of the client’s claims against the former employer’s media firm.
